IMPORTANT NOTICES: These Terms contain a binding arbitration agreement and class-action waiver (Section 20). Parents/guardians of minors: see Section 5. California residents: see Section 21 for your CCPA/CPRA privacy rights. Teachers: your use is also governed by the separate Educator Agreement (Section 12).


1. Definitions

  • Haddee / Company / We / Us / Our — Haddee Education, LLC, a California limited liability company, principal address 2006 Kala Bagai Way SPC10, Berkeley, CA 94704, operating the tutoring service at tutoring.haddee.com (the "Site").
  • Service(s) — the Site and all related features and tools that let Students find and book tutoring Sessions with Teachers, pay via a prepaid Wallet, and message. These Terms apply only to this tutoring Service and not to any other Haddee Education, LLC product or website.
  • User / You / Your — any person who browses, registers for, or uses the Service.
  • Student — a User who books and attends tutoring Sessions. Students self-register.
  • Parent / Guardian — the parent or legal guardian of a Student who is a minor; the responsible party for that Student's account and charges (Section 5).
  • Teacher (shown in the Service as "Coach") — a User, who must be an adult, who provides tutoring. Teachers are admitted by invitation and are independent contractors governed additionally by the Educator Agreement (Section 12).
  • Admin — Haddee staff who operate the Service, including moderation, payments, and dispute resolution.
  • Class — a tutoring subject offered on the Service (e.g., "SAT Prep," "Tutoring"). A Class is a subject, not a multi-week course.
  • Session / Booking — a single confirmed scheduled tutoring meeting between a Student and a Teacher for a specific Class, length, and time.
  • Wallet — a Student's prepaid balance, in U.S. dollars, used to pay for Sessions. Wallet balance is store credit (Section 9).
  • Personal Data / Personal Information — information relating to an identified or identifiable person, as defined under applicable law (including CCPA/CPRA and GDPR).

2. Acceptance of Terms

By accessing or using any part of the Service — including by browsing the Site, creating an account, adding funds, booking a Session, or clicking "I Agree" or "Sign Up" — you accept and agree to be bound by these Terms of Service and our Privacy Policy (incorporated by reference). If you do not agree, do not use the Service.

Teachers are additionally bound by the Educator Agreement, and Teachers who enable text alerts are additionally bound by the SMS Terms. If you are a minor, a Parent/Guardian must accept these Terms on your behalf (Section 5).

We may update these Terms at any time. We will post the revised Terms with a new effective date and, where required by law, provide additional notice. Your continued use of the Service after a change constitutes acceptance. If you do not agree to the changed Terms, stop using the Service.


3. Description of the Service

Haddee operates an online tutoring marketplace at tutoring.haddee.com that connects Students with Teachers for confirmed one-on-one Sessions. You may create an account, find Teachers, add funds to a Wallet, book and attend Sessions (held over a third-party video link such as Zoom or Google Meet), leave reviews, and message.

You acknowledge and agree that: (1) Haddee provides the platform that facilitates these connections and is not the Teacher; (2) tutoring outcomes are not guaranteed; (3) Sessions occur over third-party meeting tools that Haddee does not control; and (4) Haddee does not record tutoring Sessions.

Haddee is not a party to the instructional relationship between a Student and a Teacher. However, Haddee operates the booking and payment system and will make binding determinations within that system — for example, deciding cancellation appeals and no-show reports and the resulting refunds, credits, and Teacher pay — under the policies in Section 8. Haddee is not obligated to involve itself in disputes that fall outside these on-platform mechanisms.

You may sign in with Google or with an email address and password. The Service does not offer Facebook, X, or other social-network logins.


4. Account Registration and Security

To use most features you must register and provide true, accurate, current, and complete information. You are responsible for safeguarding your password and for all activity under your account. You agree to (a) notify us promptly at hello@haddee.com of any unauthorized use or security breach, and (b) not share your password or let anyone else use your account. A User has one role (Student, Teacher, or Admin); changing roles requires a new account.


5. Eligibility, Minors, and Parental Consent

IMPORTANT — COPPA and California minor protections. Read carefully.

  • Minimum age 13. You must be at least 13 years old to create a Student account. We collect your date of birth at sign-up to verify this and do not knowingly create accounts for, or collect personal information from, children under 13 (Children's Online Privacy Protection Act, 15 U.S.C. §6501 et seq.). If we learn we have collected information from a child under 13, we will delete it; contact hello@haddee.com.
  • Users aged 13–17 require a Parent/Guardian. At sign-up, a minor must provide a Parent/Guardian name and email. The Parent/Guardian is the responsible party for the account and for all charges, and accepts these Terms (including the arbitration agreement in Section 20) on the minor's behalf. We notify the Parent/Guardian by email that the account was created and provide a way to manage or close it; the Parent/Guardian may object or request closure at any time by contacting hello@haddee.com. The signup email also includes an optional one-tap link for the Parent/Guardian to confirm their email address. **** ****
  • California Age-Appropriate Design Code (AB 2273). We comply with Cal. Civ. Code §1798.99.28 et seq. for features likely to be accessed by users under 18. We do not use dark patterns or targeted advertising directed at minors, and we minimize the data we collect from minors (for example, we store only a derived "minor/adult" indicator, not your full date of birth).
  • Teachers must be adults.
  • EU/UK minors (GDPR). Where applicable, a Parent/Guardian must consent for a minor below the age of digital consent in their jurisdiction.

If you are a Parent/Guardian who consents to a minor's use of the Service, you agree to be bound by these Terms with respect to that use and are responsible for the minor's compliance.


6. User Conduct and Content

You are solely responsible for content you submit ("User Contributions"). We may, but are not obligated to, review, remove, or edit User Contributions.

Your User Contributions must not: contain unlawful, libelous, obscene, harassing, hateful, or otherwise objectionable material; infringe any intellectual-property or privacy right; promote illegal activity; harass, abuse, threaten, or harm any person; contain malware; impersonate any person or misrepresent your affiliation; or include unauthorized commercial activity.

You must not use the Service to: break any law; collect others' personal information without authorization; spam, scrape, or crawl the Service; circumvent its security or authentication; or access non-public areas without permission.

No off-platform circumvention (important). You agree not to share personal contact information (phone numbers, email addresses, social handles, etc.) for the purpose of moving the relationship off the Service, and not to solicit, arrange, or make payment for tutoring outside the Service. Off-platform payments forfeit the protections of these Terms (including the cancellation, no-show, and refund policies) and may result in suspension.

Messaging is monitored and retained. To keep the Service safe — especially for minors — Admins may review messages, and messages are retained. Do not use messaging for anything you would not want an Admin to read.


7. Reviews and Ratings

Students who have completed at least one Session with a Teacher may post a review (a star rating and text). Reviews are verified (only post-Session) and appear publicly on the Teacher's profile.

  • A review reflects the author's own opinion and experience, and is not endorsed by Haddee. To the extent permitted by law, Haddee is not responsible for User reviews.
  • We remove a review only for defined reasons: harassment; disclosure of personal/confidential information; off-topic content; unlawful content; verifiably false statements of fact about a Teacher; or profanity. We do not remove a review simply because it is negative or critical. Subjective opinions are not "false."
  • Teachers may not remove their own reviews; a Teacher may flag a review for Admin review, and an Admin decides using available records. By providing tutoring, Teachers consent to being reviewed (see also the Educator Agreement).

8. Bookings, Cancellations, No-Shows, and Dispute Decisions

Bookings are per-Session. The governing time is the start of the Session, in the Teacher's time zone.

  • Free cancellation 24+ hours before a Session. A Student who cancels more than 24 hours before the Session receives an immediate refund to their Wallet.
  • Late cancellation (under 24 hours). No automatic refund. The Student may cancel without a refund (the amount paid is forfeited and goes to the Teacher) or file an appeal for a refund in genuine emergencies. An Admin reviews the appeal and the decision is binding — approve (Wallet refund) or deny (amount goes to the Teacher).
  • Teacher cancellation. If a Teacher cancels, the Student is refunded to their Wallet, regardless of timing.
  • Teacher no-show. A Student has 3 days (72 hours) after a Session to report that a Teacher did not attend. If the Teacher admits it (or does not respond within the policy window), the Student is refunded and the Teacher is not paid. If the Teacher disputes it, an Admin decides, and the decision is binding.
  • Binding determinations. Cancellation appeals and no-show reports are resolved by Haddee under these policies. Such decisions determine the resulting refund, credit, or Teacher pay and are final within the Service.

Reschedule is not a separate action — to move a Session, cancel and book a new time.


9. Payments, Wallet, and Refunds

  • Payment processor. Card payments are processed by Stripe through a Stripe-hosted checkout. Haddee does not receive or store your full card number. In some cases Haddee may collect payment by other means and credit your Wallet manually.
  • Prepaid Wallet (store credit). You add funds ("top up") to a Wallet denominated in U.S. dollars, then pay for Sessions from the Wallet. Wallet balance is store credit usable only on the Service. The minimum top-up is $15.
  • Credits do not expire. Wallet balance never expires.
  • Cash-out of small balances. Consistent with California Civil Code §1749.5, if your Wallet balance is under $15, you may request that it be paid out to your original payment method at any time by contacting us. ****
  • 24-hour top-up refund. Within 24 hours of a top-up, you may request a refund of that top-up to your original card by contacting us; our team processes the refund. The refundable amount is the unspent portion of that top-up — the lesser of the top-up amount and your current Wallet balance, because pre-existing balance is treated as spent first (so if you already had enough credit to cover a Session you booked, the new top-up refunds in full). After 24 hours, amounts are returned only as Wallet credit under Section 8.
  • Closing your account. To close your account, contact us (see Section 19). If you have a remaining Wallet balance, we refund it to your original payment method before closing your account — nothing is forfeited.
  • Pricing, taxes, fees. Session prices are shown before you book and are set by Haddee. Amounts are in USD. We do not add surcharges or processing fees to your payments. Payment-processing fees on refunds, where applicable, are absorbed by Haddee.
  • Teacher pay is governed by the Educator Agreement (Section 12), not by these consumer payment terms.

10. Text Messages (SMS) and Email

  • SMS — Teachers only. Text alerts are available only to Teachers who opt in, and are governed by the separate SMS Terms (message frequency varies; message and data rates may apply; reply STOP to cancel, HELP for help). Students are never texted.
  • Email. The Service sends transactional emails that are part of the Service (for example: account verification, booking confirmations and cancellations, payment receipts, payout notices, and dispute outcomes). Some non-essential categories can be turned off in your settings; essential transactional emails cannot. Parents/Guardians of minors are copied on payment receipts.

11. Privacy, Cookies, and Analytics

Our collection and use of Personal Data is described in our Privacy Policy (a separate, company-wide document, incorporated by reference). Key points for this Service:

  • Cookie consent. We show a cookie-consent banner to all users; non-essential analytics load only after you accept. You can decline.
  • Analytics. With your consent we use Google Analytics 4 (aggregate web analytics; IP anonymized) and Microsoft Clarity, which includes session replay and heatmaps of your interactions with our website (with sensitive on-screen content masked). We also use Sentry for error monitoring as a strictly necessary service to keep the Service secure and reliable; Sentry is configured not to capture personal data.
  • We do not record tutoring Sessions (which take place on third-party video tools).
  • Do Not Track. Because we provide the cookie-consent control described above, that control — not a browser "Do Not Track" signal — governs non-essential analytics.


12. Educators (Teachers)

Teachers are independent contractors, not employees, and their use of the Service is governed additionally by the Educator Agreement, which they accept at onboarding. The Educator Agreement covers, among other things: Teacher payouts and timing; independent-contractor status and sole responsibility for the Teacher's own taxes (Haddee issues a Form 1099-NEC to U.S. Teachers earning over $600 per year, handled off-platform; Teachers provide a Form W-9 on request); a background-check attestation (at present Teachers are individually vetted; verified background checks will be required before Teacher self-registration opens); non-circumvention (no off-platform solicitation or payment); SMS consent; and consent to being reviewed. Haddee sets Class prices and Teacher pay rates.


13. Intellectual Property

Haddee content. The Service and its content (other than User Content) are protected by intellectual-property rights. Except as expressly authorized, you may not copy, modify, distribute, scrape, or create derivative works from the Service. "Haddee" and its logos are marks of Haddee Education, LLC.

Your content — license. You retain your rights in content you submit ("User Content"). You grant Haddee a worldwide, non-exclusive, royalty-free, sublicensable license to use, reproduce, modify, adapt, publish, and display your User Content as needed to operate, improve, and promote the Service. For content submitted privately (e.g., messages, appeal evidence), this license is limited to operating the Service. Profile photos and bios are reviewed before they appear publicly; appeal-evidence photos are kept private; uploaded images have location metadata stripped. You represent that you have the rights to your User Content.

Feedback. Suggestions you provide are non-confidential and may be used by Haddee without compensation.


14. Third-Party Services

The Service links to or relies on third parties (for example, video-meeting tools and the payment processor). Haddee does not control and is not responsible for third-party sites, tools, or services, and your dealings with them are solely between you and the third party.


15. Indemnity and Release

You agree to release, indemnify, and hold harmless Haddee and its affiliates, officers, employees, directors, and agents from any claims, losses, damages, and expenses (including reasonable attorneys' fees) arising out of or relating to your use of the Service, your User Content, your violation of these Terms, or your violation of any rights of another.

California Civil Code §1542 waiver. If you are a California resident, you waive Civil Code §1542 ("A general release does not extend to claims that the creditor or releasing party does not know or suspect to exist in his or her favor at the time of executing the release..."). Residents of other jurisdictions waive any comparable statute.


16. Disclaimer of Warranties

YOUR USE OF THE SERVICE IS AT YOUR SOLE RISK. THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." HADDEE DISCLAIMS ALL WARRANTIES, EXPRESS, IMPLIED, OR STATUTORY, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. We do not warrant that the Service will be uninterrupted, secure, error-free, or that tutoring will meet your expectations. To the extent required by applicable consumer-protection law, this Section does not exclude rights that cannot lawfully be excluded.


17. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, HADDEE WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, GOODWILL, DATA, OR OTHER INTANGIBLE LOSSES, ARISING FROM OR RELATING TO THE SERVICE. IN NO EVENT WILL HADDEE'S TOTAL LIABILITY FOR ALL CLAIMS EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID HADDEE IN THE LAST SIX (6) MONTHS OR (B) ONE HUNDRED DOLLARS ($100). Some jurisdictions do not allow certain limitations; in those, our liability is limited to the greatest extent permitted by law.


18. Content Preservation and Disclosure

Haddee may preserve and disclose User Content if reasonably necessary to comply with law or legal process, enforce these Terms, respond to claims of third-party-rights violations, or protect the rights, property, or safety of Haddee, its users, or the public.


19. Termination

You may stop using the Service and delete your account and personal information at any time by emailing us at hello@haddee.com. There is no separate self-serve delete button — you make the request and we honor it. When you do: any remaining Wallet balance is first refunded to your original payment method (Section 9; nothing is forfeited), and we then permanently delete your personal information — your name, email address, profile photo, bio, school, city/state, and phone number — so your account can no longer be signed into or linked to you. We keep only the limited records the law requires us to retain (such as transaction and tax records), and only in a form that no longer identifies you. A Parent/Guardian may request deletion of a minor's account the same way, at any time. Haddee may suspend or terminate accounts that violate these Terms or put users — especially minors — at risk, and may discontinue the Service with notice where required by law. Haddee is not liable for any termination except as required by law.


20. Dispute Resolution by Binding Arbitration

PLEASE READ — THIS AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO SUE IN COURT AND TO A JURY TRIAL.

  • Agreement to arbitrate. Except as set out below, you and Haddee agree that any dispute arising out of or relating to these Terms or the Service will be resolved by binding, individual arbitration, not in court and not on a class or representative basis. You and Haddee waive the right to a jury trial and to participate in a class action. This agreement is governed by the Federal Arbitration Act.
  • Exceptions. Either party may bring an individual action in small-claims court or seek injunctive relief for intellectual-property infringement in court.
  • Rules. Arbitration is administered by JAMS under its applicable rules, seated in Alameda County, California (or by phone/video for claims of $10,000 or less, at your election). The award is final and may be entered in any court of competent jurisdiction.
  • Fees. Haddee will pay JAMS filing, administrative, and arbitrator fees for any arbitration you initiate for claims of $75,000 or less; above that, JAMS fee rules apply. ****
  • Class-action waiver. Claims may be brought only individually; the arbitrator may award relief only in your individual favor.
  • California PAGA. Nothing here waives a non-waivable PAGA claim.
  • 30-day opt-out. You may opt out of this arbitration agreement within 30 days of first accepting these Terms by emailing hello@haddee.com with the subject "Arbitration Opt-Out." If you opt out, disputes are resolved in the courts in Section 23.

21. California Privacy Rights (CCPA/CPRA)

This Section applies to California residents and supplements the Privacy Policy. We collect categories of personal information including: identifiers (name, email, phone, IP address, account username); customer records (name, contact details, payment information processed by Stripe); commercial information (Sessions booked, payment history); internet/network activity (Site usage, website session-replay interactions captured by analytics with sensitive content masked); general (IP-based) location; inferences; audio/visual information limited to profile photos (we do not record tutoring Sessions); and, for Teachers, professional information.

You have the right to know/access, delete, and correct your personal information; to opt out of any "sale" or "sharing" for cross-context behavioral advertising (we do not sell personal information); to limit use of sensitive personal information; and to be free from discrimination for exercising these rights. To exercise them, contact hello@haddee.com or 2006 Kala Bagai Way SPC10, Berkeley, CA 94704. We will verify your request and respond within the time the law allows.

California §1789.3 notice. The Complaint Assistance Unit of the California Department of Consumer Affairs may be reached at 1625 N. Market Blvd., Suite N-112, Sacramento, CA 95834, or (916) 445-1254 / (800) 952-5210.

Shine the Light (§1798.83). California residents may request information about disclosures of personal information for third-party direct marketing once per year at hello@haddee.com.

Minors' eraser (Bus. & Prof. Code §22581). A California resident under 18 who is a registered user may request removal of content they posted by contacting hello@haddee.com.


22. EU/UK Users (GDPR)

The Service is operated from the United States and intended for U.S. users. If you access it from the EEA or UK, Haddee Education, LLC processes your personal data as a controller on the lawful bases of contract performance, consent (which you may withdraw), legitimate interests, and legal compliance. You may request access, correction, deletion, restriction, portability, and objection, and may withdraw consent or lodge a complaint with your supervisory authority. Contact hello@haddee.com. The arbitration and class-action-waiver provisions in Section 20 do not apply to EU/UK consumers, and nothing in these Terms limits non-waivable EU/UK consumer rights.


23. Governing Law and Jurisdiction

These Terms are governed by the laws of the State of California, without regard to conflict-of-law rules, except that Section 20 is governed by the Federal Arbitration Act. For disputes not subject to arbitration, you and Haddee submit to the exclusive jurisdiction of the state and federal courts in Alameda County, California. EU/UK consumers may also bring proceedings in their country of residence as required by law.


24. General Provisions

  • Entire agreement. These Terms, the Privacy Policy, and (for Teachers) the Educator Agreement and SMS Terms are the entire agreement between you and Haddee regarding the Service.
  • Non-disparagement. You agree not to make false or materially misleading disparaging statements about Haddee. Nothing here prevents truthful statements to a government or regulatory authority, or as protected by law — and nothing here limits your right to post honest reviews of Teachers under Section 7. ****
  • Statute of limitations. Any tort claim relating to the Service must be filed within one (1) year after it arose, except where a longer period is required by law.
  • Severability. If any provision is unenforceable, the rest remains in effect.
  • Waiver. Our failure to enforce a provision is not a waiver.
  • Assignment. You may not assign these Terms without our consent; we may assign them to an affiliate or successor.
  • Electronic acceptance. Clicking "I Agree" or "Sign Up" is your electronic signature and creates a binding contract.
  • Notices. We may notify you by email or by posting on the Service.

USER ACKNOWLEDGMENT

By creating an account, registering, or clicking "Sign Up" or "I Agree" (or, for a minor, by a Parent/Guardian doing so on the minor's behalf), you acknowledge that you have read, understood, and agree to be bound by these Terms of Service and the Haddee Privacy Policy, including the arbitration provision in Section 20, and that this constitutes your electronic signature.
